By accessing, downloading, installing, or using the Nesion KV-Cache Eviction Engine, the nesion.net website, any associated APIs, documentation, or related services (collectively, the "Software"), you ("User", "you", or "your") agree to be bound by these Terms of Service (the "Terms"). If you do not agree to all of these Terms, you must immediately cease all use of the Software.
If you are agreeing to these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity. If you do not have such authority, you must not accept these Terms and may not use the Software.
Nesion is offered under two licensing models:
Your use of the Software is subject to the terms of the applicable license. Any breach of license terms automatically and immediately terminates your right to use the Software without notice.
Nesion Engineering and its contributors, officers, directors, employees, and agents (the "Licensor") make no representations or warranties of any kind concerning the Software, including, without limitation, warranties of merchantability, fitness for a particular purpose, non-infringement, or the absence of latent or other defects, accuracy, or the presence or absence of errors, whether or not discoverable.
The Licensor does not warrant that the Software will meet your requirements, that the operation of the Software will be uninterrupted or error-free, or that defects in the Software will be corrected. The Software interacts with complex hardware and other software environments; the Licensor is not responsible for any hardware damage, data loss, data corruption, system instability, or any other adverse effects resulting from the use of the Software.
This includes, but is not limited to, damages arising from: procurement of substitute goods or services; loss of use, data, or profits; business interruption; hardware failure or damage; GPU or other component degradation; security breaches; or any other commercial damages or losses — however caused and on any theory of liability, whether in contract, strict liability, or tort (including negligence or otherwise), arising in any way out of the use of this Software, even if advised of the possibility of such damage.
Specifically, the Licensor shall not be held liable for:
In jurisdictions that do not allow the exclusion or limitation of liability for consequential or incidental damages, the Licensor's liability is limited to the maximum extent permitted by law. In all cases, the Licensor's total aggregate liability shall not exceed the amounts actually paid by you to the Licensor in the twelve (12) months preceding the claim.
You agree to indemnify, defend, and hold harmless Nesion Engineering, Carlos Costa Garcia, and their respective affiliates, officers, directors, employees, contractors, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or in any way connected with:
All rights, title, and interest in and to the Software, including but not limited to all source code, compiled binaries, algorithms, architecture designs, documentation, trade secrets, trademarks, service marks, and logos (collectively, the "Nesion IP"), are and shall remain the exclusive property of Nesion Engineering and Carlos Costa Garcia.
Nothing in these Terms grants you any right to use the Nesion name, logos, or trademarks without prior written authorization.
You shall not, and shall not permit any third party to:

Nesion Engineering reserves the right, in its sole and absolute discretion, to suspend or terminate your access to the Software, your account, and/or your license at any time, with or without notice, for any reason, including but not limited to:
Upon termination, all rights granted to you under these Terms shall immediately cease, and you must destroy all copies of the Software in your possession.
Enterprise licenses are billed on a monthly per-GPU basis. Payment is due at the time of invoicing. All fees are stated in US Dollars (USD) and are exclusive of taxes unless otherwise stated.
No refunds will be issued for any subscription period that has already begun. If you cancel your subscription, your license will remain active until the end of the current billing period, after which it will expire.
The 14-day free trial does not require payment information. After the trial period, continued use requires an active paid subscription.
The Software and related technical data may be subject to export control laws and regulations. You agree to comply with all applicable export control laws and regulations, including those of the European Union and the United States. You shall not export, re-export, or transfer the Software to any country or entity if doing so would violate such laws.
Your use of the Software may involve the processing of personal data as described in our Privacy Policy. By using the Software, you consent to such processing and warrant that all data provided by you is accurate and lawfully obtained.
For users subject to the General Data Protection Regulation (GDPR), Nesion Engineering acts as a data controller with respect to account information. For enterprise customers requiring a Data Processing Agreement (DPA), please contact us at license@nesion.net.
Nesion Engineering shall not be liable for any failure or delay in the performance of its obligations under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, epidemics, strikes, internet or telecommunications failures, or infrastructure outages.
Nesion Engineering reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting, and the "Last Updated" date will be revised accordingly. Your continued use of the Software following any modifications constitutes your acceptance of the revised Terms.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision of these Terms, which shall remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
These Terms, together with the applicable license agreement and the Privacy Policy, constitute the entire agreement between you and Nesion Engineering regarding the use of the Software and supersede all prior and contemporaneous agreements, understandings, representations, and warranties, both written and oral, regarding the Software.
No waiver of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of Nesion Engineering to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
These Terms shall be governed by and construed in accordance with the laws of Spain, without regard to its conflict of law provisions. You irrevocably agree to submit to the personal and exclusive jurisdiction of the courts located in Madrid, Spain, for the resolution of any dispute arising out of or in connection with these Terms or the Software.
